On 9 October 2026, Evernorth Holdings announced that it had completed its business combination with Armada Acquisition Corp. II. According to the release, its shares begin trading on Nasdaq under the ticker XRPN on 12 October 2026. This article sets out what the announcements say — and what they do not.
What is Evernorth?
According to the release, Evernorth is a public company whose main activity is managing an XRP treasury. Its founder and CEO is Asheesh Birla. The combination was with a SPAC: a company already listed on the exchange, with no business of its own, through which an operating business reaches the market by merging into it. Armada's sponsor is Arrington XRP Capital Fund.
The numbers — according to the release
- approximately 473 million XRP held at closing;
- approximately $300 million in gross cash proceeds, before transaction expenses;
- the release names investors including Arrington Capital, SBI Group, Ripple, Pantera Capital, Kraken and GSR;
- a Nasdaq closing bell ringing is planned for 14 October.
Why the delay?
Trading was originally expected to begin on 8 October. On 6 October the company moved the date, citing an administrative delay; according to crypto.news, an SEC filing that day confirmed the new timetable.
What does the release itself say about risks?
Alongside its forward-looking statements, the company lists risks. They include volatility and decline in the price of XRP, maintaining the listing, regulatory and market change, the costs of being a public company, and competition. According to the release, the list is not exhaustive.
